1.  Interpretation and Definitions

Interpretation. Capitalized terms have the meanings below, regardless of singular or plural.

  • Application means any software or mobile app provided by AsbiTech that is downloaded from an Application Store and/or accessed on any electronic device.

  • Confidential Information means information designated confidential, or that reasonably should be understood as confidential.

  • Content means any data or information available on or through the Website or Application at any time.

  • Device means any device that can access the Service (e.g., computer, mobile phone, tablet).

  • Feedback means feedback, suggestions, or ideas You provide regarding the Service.

  • Privacy Policy means AsbiTech’s Privacy Policy posted on the Website and/or the Application from time to time.

  • Proprietary Rights means all intellectual property rights, including copyrights, database rights, patents, design rights, trademarks, trade names, trade secrets, and business methods.

We may provide or integrate with single sign-on (SSO) providers. We do not access Your password but may assist with resets when requested.

You assign to AsbiTech all rights in Feedback. If assignment is ineffective, You grant Us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback without restriction.

The Service may include links to third-party websites or integrate Third-Party Services. We do not control, and are not responsible for, their content, policies, or practices. Your use of third-party sites/services is at Your own risk and subject to their terms and policies.

10. Suspension & Termination

We may suspend or terminate Your access to the Service at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, Your right to use the Service ceases immediately. Sections that by nature should survive (e.g., IP, confidentiality, disclaimers, liability limits, governing law) will survive termination.

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will meet Your requirements, be uninterrupted, secure, error-free, or free of harmful components, or that defects will be corrected.

Some jurisdictions do not allow certain warranty exclusions; where prohibited, the relevant exclusions will not apply.

To the maximum extent permitted by law, in no event will AsbiTech, its officers, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

Subject to the foregoing, AsbiTech’s aggregate liability for all claims arising out of or relating to the Service shall not exceed the greater of AED 1,000 or the total fees (if any) paid by You to AsbiTech for the Service in the twelve (12) months preceding the event giving rise to liability.

Some jurisdictions do not allow limitations of liability; where prohibited, the limitation will apply to the maximum extent permitted.

13. Confidentiality

If either party obtains Confidential Information of the other in connection with the Service, the receiving party will protect it with at least reasonable care and use it only for purposes of the Service or as otherwise permitted in writing.

Permitted disclosures include: (a) auditors/professional advisers; (b) regulators or courts (with notice to the extent legally permitted); and (c) required filings or reports. Privacy-related handling of personal data is governed by the Privacy Policy.

14. Indemnity

You will indemnify and hold harmless AsbiTech, its officers, directors, employees, and agents from and against any losses, damages, liabilities, and reasonable costs (including legal fees) arising out of or related to: (a) Your breach of these Terms; (b) Your misuse of the Service; or (c) Your content or data that infringes or violates third-party rights or laws.

15. Force Majeure

AsbiTech will have no liability for any delay or failure to perform due to events beyond Our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or governmental actions. We will take commercially reasonable steps to mitigate and resume performance.

16. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to the Service are governed by the laws of the DIFC, excluding conflict-of-laws rules. Subject to any mandatory informal resolution period We may specify, the parties submit to the exclusive jurisdiction of the DIFC Courts. If You are a consumer in the EU/US with mandatory protections, You retain those non-waivable rights as applicable.

17. Severability & Waiver

If any provision is held invalid or unenforceable, it shall be modified to achieve the intent to the maximum extent permitted, and the remaining provisions will remain in full force. No failure or delay to exercise any right constitutes a waiver of that right.

18. No Other Terms

​

These Terms and the Privacy Notice are the only terms and conditions applicable to the Service. You acknowledge and agree that in accessing the Website and/or the Application and availing Yourself of the Service, You have not relied on, and shall have no remedy in respect of any statement of fact or opinion not recorded in these Terms (whether negligently or innocently made).

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time.
